Welcome to ca-vetlabs.ai (the "Site"), operated by Cherehani Labs, Inc (the "Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Site, including any services, features, and content provided through the Site (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. The Services are intended for qualified veterinarians, laboratory technicians, or professionals in the veterinary field. By using the Services, you represent and warrant that you meet these requirements and that all information you provide is accurate and lawful.

2. Description of Services

Our platform allows you to upload microscope images of animal samples for AI-powered diagnostic analysis. Images, results, feedback, IP addresses, and location data are stored securely in Microsoft Azure and related databases.

  • Upload: Users upload images via the platform. We do not claim ownership of your uploaded content, but you grant us a license as described in Section 4.
  • Analysis: Results are AI-generated for informational purposes only and must not replace professional veterinary judgment or laboratory testing.
  • Free or Paid Access: Currently free, but we may introduce paid plans in the future with notice.
  • Multilingual Support: Translations of results are supported but currently limited to the languages available on the platform. We do not guarantee accuracy of translations, and users remain responsible for interpreting the results in their professional context.

3. User Accounts

Some features may require registration. You agree to provide accurate details, maintain confidentiality of your credentials, and accept full responsibility for all activities under your account. Notify us immediately of unauthorized access.

4. User Content and License

  • Ownership: You retain ownership of images, feedback, and other content you upload ("User Content").
  • License: By uploading, you grant us a worldwide, royalty-free, sublicensable license to use, store, process, analyze, reproduce, and display your User Content solely to operate and improve our Services. AI training uses anonymized or aggregated data where possible.
  • Representations: You represent that your User Content is lawful, does not infringe on others’ rights, and does not contain personal data without proper consent.
  • Removal: We may remove or restrict access to User Content that violates these Terms, applicable law, or third-party rights.

5. Data Privacy and Compliance

We process personal data in compliance with Kenya’s Data Protection Act (2019), the EU General Data Protection Regulation (GDPR), and the California Consumer Privacy Act (CCPA) where applicable.

  • Personal Data: We collect and store IP addresses, approximate geolocation, and usage data.
  • Consent: By using the Services, you consent to such processing. You may withdraw consent at any time, though this may limit service availability.
  • Cross-Border Transfers: Your data may be stored or processed outside your country, including in the EU and USA. We implement safeguards such as Standard Contractual Clauses where required.
  • Rights: Depending on jurisdiction, you may access, correct, delete, restrict, or object to data use, and request portability. Contact [email protected] to exercise rights.
  • Children: Our Services are not directed to persons under 18. We do not knowingly collect children’s data. If discovered, we will delete it immediately.
  • Retention: Data is stored as long as necessary for service, improvement, or legal obligations.

6. Intellectual Property

All intellectual property rights in the Site, Services, and our proprietary software are owned by us or our licensors. The AI models and third-party services we use remain the property of their respective providers. Your use of our Services does not grant you any rights in such third-party technologies. You may not copy, modify, distribute, or reverse engineer any part of the Services without our prior written consent.

7. Prohibited Conduct

You must not:

  • Upload unlawful, harmful, or infringing content.
  • Use the Services for human diagnostics or unrelated purposes.
  • Attempt unauthorized access, interfere with security, or use automated scraping tools.
  • Violate any applicable laws or third-party rights.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. AI results may contain inaccuracies and are for informational purposes only. They do not constitute veterinary, medical, or professional advice. Always consult a licensed veterinarian for diagnosis and treatment. You use the Services at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for indirect, incidental, or consequential damages, including animal injury, loss of profits, or business interruption. Our total liability is limited to the amount paid by you in the past 12 months (which may be zero).

10. Indemnification

You agree to indemnify and hold harmless the Company, its officers, and partners from claims, damages, or expenses arising from your use of the Services, your User Content, or violation of these Terms.

11. Service Changes and Termination

We may modify, suspend, or discontinue Services at any time without liability. We may also suspend or terminate your access for violations of these Terms. Data retention after termination is governed by our Privacy Policy.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Kenya, with disputes subject to the courts of Nairobi, Kenya. However, nothing in these Terms limits your mandatory consumer or data rights under applicable laws in your country of residence, including GDPR rights in the EU and CCPA rights in California.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via the Site or email. Continued use after updates constitutes acceptance.
