Welcome to ca-vetlabs.ai (the "Site"), operated by Cherehani Labs, Inc (the "Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Site, including any services, features, and content provided through the Site (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. The Services are intended for use by qualified veterinarians, laboratory technicians, or other professionals in the veterinary field ("Users"). By using the Services, you represent and warrant that you meet these requirements and are authorized to upload and analyze animal sample images in compliance with applicable laws.

2. Description of Services

The Site provides an AI-powered platform for uploading microscope images of animal samples (e.g., gram-stained slides) for instant diagnostic analysis. We process the uploaded images using artificial intelligence to generate results, which may include identifications, classifications, or insights. The images, analysis results, user feedback, IP address, location data, and any provided address are stored securely.

  • Upload Process: Users upload images via the "Upload Image" button. We do not claim ownership of your uploaded content but grant us a license as described in Section 4.
  • Analysis: Results are provided for informational purposes only and are not a substitute for professional veterinary judgment or laboratory testing.
  • Multilingual Support: Results may be translated into local languages upon request.
  • Free Access: The Services are currently provided free of charge, but we reserve the right to introduce fees in the future with notice.

3. User Accounts

To use certain features, you may need to create an account. You agree to provide accurate information and keep your account secure. You are responsible for all activities under your account. Notify us immediately of any unauthorized access.

4. User Content and License

  • Your Content: You retain ownership of any images, feedback, or other content you upload ("User Content"). By uploading, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, process, analyze, reproduce, and display your User Content solely for providing and improving the Services, including AI training (in anonymized form where possible).
  • Representations: You represent that your User Content does not infringe third-party rights, contains no personal data of individuals without consent, and complies with all laws (e.g., no illegal content).
  • Storage and Processing: We store User Content in Azure, which may involve data transfers outside your jurisdiction. We implement appropriate safeguards for such transfers.

5. Data Privacy and GDPR Compliance

We are committed to protecting your personal data in accordance with the General Data Protection Regulation (GDPR) where applicable (e.g., if you are in the EU/EEA or we process EU data). Personal data we collect may include your IP address, location, address (if provided), email, and usage data.

  • Consent: By using the Services, you consent to the collection, processing, and storage of your data as described. You can withdraw consent at any time, but this may limit access to Services.
  • Purposes: Data is used to provide Services, improve AI models, ensure security, and comply with legal obligations.

  • Data Retention: We retain data as long as necessary for the purposes outlined, or as required by law. Images and results are stored indefinitely for service improvement unless you request deletion.

We do not process sensitive personal data (e.g., health data of humans) unless explicitly related to animal diagnostics and with your consent. Animal sample data is not considered personal data under GDPR.

6. Intellectual Property

The Site, Services, AI models, and all content (excluding User Content) are owned by us or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Services without our written consent.

7. Prohibited Conduct

You agree not to:

  • Upload harmful, illegal, or infringing content.
  • Use the Services for human diagnostics or non-veterinary purposes.
  • Attempt to interfere with the Services or access unauthorized data.
  • Use automated tools to scrape or overload the Site.

8. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, RELIABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT ANALYSIS RESULTS ARE ERROR-FREE, COMPLETE, OR SUITABLE FOR ANY SPECIFIC USE.

  • Not Professional Advice: The AI-generated results are for informational purposes only and do not constitute veterinary, medical, or diagnostic advice. Always consult a qualified professional for diagnoses and treatments. We are not liable for any actions taken based on the results.
  • Limitations: AI analysis may have inaccuracies due to image quality, sample preparation, or other factors. Results are not lab-grade certifications.
  • Use at Own Risk: You assume all risks associated with using the Services, including reliance on results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS (WHICH MAY BE ZERO).

10. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your User Content, violation of these Terms, or misuse of the Services.

11. Termination

We may suspend or terminate your access at any time for violations of these Terms or other reasons. Upon termination, your license to use the Services ends, but we may retain stored data as per our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of Nairobi, Kenya. For EU users, you may also have rights under GDPR to lodge complaints with your local data protection authority.

13. Changes to Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance. We will notify you of material changes via the Site or email.
